End User License Agreement

This End User License Agreement (the “Agreement”) governs your use of the Popolni add-in for Microsoft Word (the “Add-in”). The Add-in is offered by Друштво за менаџмент и бизнис консалтинг ПРОБИС-КОНСАЛТ ДООЕЛ Скопје (PROBIS-KONSALT DOOEL Skopje), ЕМБС 7513615, ЕДБ 4057021555700, with its registered seat at ул. Драгутин Аврамовски Гуте бр. 32, Општина Карпош, Скопје, North Macedonia (“we”, “us”). “popolni.mk” is the trade name of the service to which the Add-in connects.

By installing, activating or using the Add-in, you accept this Agreement. If you accept it on behalf of an office or another organisation, you confirm that you are authorised to bind that organisation. If you do not agree, do not install or use the Add-in.

The Add-in is a client for the popolni.mk service. Your use of the service itself, including your account, subscription and the processing of documents and personal data, is governed by the Terms of Use (including the Data Processing Addendum) and the Privacy Policy. In the event of a conflict between this Agreement and the Terms of Use regarding the service, the Terms of Use prevail.

1. License grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Add-in within Microsoft Word, solely for the purpose of using the popolni.mk service with a valid account, and solely in accordance with this Agreement and the Terms of Use.

The Add-in is licensed, not sold. We and our licensors retain all rights, title and interest in and to the Add-in, including all intellectual property rights, that are not expressly granted to you in this Agreement.

2. Restrictions

You must not, and must not allow others to:

• copy, modify, adapt or create derivative works of the Add-in, except as permitted by mandatory law;
• reverse engineer, decompile or disassemble the Add-in, except to the extent such activity is expressly permitted by applicable law notwithstanding this restriction;
• rent, lease, lend, sell, sublicense, distribute or otherwise transfer the Add-in;
• remove, alter or obscure any proprietary notices in or on the Add-in;
• use the Add-in to circumvent the security or access restrictions of the popolni.mk service, or in any unlawful manner;
• use the Add-in without a valid popolni.mk account or after your access to the service has ended.

3. Connection to the service and data

The Add-in requires an internet connection and a popolni.mk account. It sends the content needed to fill in your document (the document template and the materials you provide) to the popolni.mk service and returns the results into your Word document.

The collection and processing of personal data through the Add-in is described in the Privacy Policy. For the content of your documents, your office remains the controller and popolni.mk acts as a processor under the Data Processing Addendum.

The final check of every document is always yours. No document is considered final until you have reviewed and confirmed it.

4. Updates

We may provide updates, upgrades or new versions of the Add-in, and we may change or discontinue features of the Add-in or of the service. Updates delivered through Microsoft AppSource or the Office add-in platform may be installed automatically. This Agreement applies to all such updates, unless a separate agreement accompanies them.

5. Microsoft and third-party platforms

The Add-in runs on the Microsoft Office platform. This Agreement is between you and us only; it is not an agreement with Microsoft Corporation. Microsoft is not responsible for the Add-in or its content and has no obligations regarding it. Your use of Microsoft Word and Microsoft AppSource is governed by your agreements with Microsoft.

6. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Add-in is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Add-in will be uninterrupted, error-free or free of harmful components, or that it will meet your requirements. The Add-in does not provide legal, accounting or other professional advice and does not take over your professional responsibility for the documents you produce.

7. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, consequential, incidental or special damages, for lost profit, lost revenue, interruption of work or loss of data arising out of or related to the use of the Add-in, where these arose outside our control.

Our total liability under this Agreement is limited in the same way as under the Terms of Use: to the higher of the amount you paid for the service in the twelve months preceding the event giving rise to the liability, or 6,000 Macedonian denars.

These limitations do not apply to damage caused by intent or gross negligence, nor to liability that under mandatory regulations cannot be limited or excluded.

8. Termination

This Agreement applies for as long as you use the Add-in. It terminates automatically if you breach it, if your access to the popolni.mk service ends, or if you uninstall the Add-in.

We may terminate or suspend the license if you breach this Agreement or the Terms of Use. Upon termination, you must stop using the Add-in and uninstall it. Sections that by their nature should survive termination (including sections 2, 6, 7 and 9) survive.

9. Governing law and jurisdiction

This Agreement is interpreted and applied in accordance with the laws of the Republic of North Macedonia. For all disputes that cannot be resolved amicably, the courts in Skopje have jurisdiction, in accordance with mandatory regulations.

10. Changes to this Agreement

We may change this Agreement. The current version is always available at popolni.mk/en/eula/, with the date of the last change stated at the top of this page. If you continue to use the Add-in after the changes take effect, you are deemed to have accepted the new Agreement.
